HeadHunter Group PLC Announces Launch of Follow-On Offering
Moscow, Russia (July 14, 2020) – HeadHunter Group PLC (“HeadHunter”) (Nasdaq: HHR), the leading online recruitment platform operating in Russia and the Commonwealth of Independent States, announced today that it has commenced an underwritten public offering of 5,000,000 American Depositary Shares (“ADSs”), each representing one ordinary share, offered by ELQ Investors VIII Limited, an investment vehicle associated with The Goldman Sachs Group, Inc. The underwriters of the offering will also have a 30-day option to purchase up to an additional 750,000 ADSs from the selling shareholder at the public offering price. HeadHunter will not receive any of the proceeds from the sale of the ADSs being offered by the selling shareholder and will bear the costs associated with the sale of such ADSs, other than the underwriting discounts.
Goldman Sachs & Co. LLC, Morgan Stanley & Co. LLC, Credit Suisse Securities (USA) LLC and VTB Capital plc are acting as joint book running managers for the proposed offering.
The proposed offering will be made only by means of a preliminary prospectus supplement and the accompanying prospectus.
